management liability for sponsors.

An independent sponsor raises capital deal by deal. The sponsor's own fundraising and oversight are a different exposure from the company's directors and officers policy.

the portfolio company's D&O policy is not the sponsor's own policy.

The short answer. General partners' liability, often called GPL, is the product built for the sponsor's side, and it typically blends directors and officers coverage, professional liability, and outside directorship liability. Whether you need it depends on the vehicles you manage, who the investors are, and what the operating agreements say, and coverage always depends on underwriting and the policy wording.

what are the key takeaways?

  • 1

The company policy has a job.

It is written for the company and its directors, including board designees in that role.

  • 2

    The sponsor policy has another.

Claims about raising capital, running a vehicle, or an investment decision sit on the sponsor's side.

  • 3

    The agreement decides the bill.

Ask counsel whether the vehicle or the company can reimburse the premium, and which policy pays first.

who can sue an independent sponsor?

A May 2024 note on management and professional liability for independent sponsors lists the sources plainly: vehicle investors, portfolio company founders, management and employees, creditors, vendors, securities regulators, and other agencies. It also notes that defense costs can be large even for a weak claim. May 2024 management liability note.

  • An investor says the deal memo understated a known risk.
  • A rolled-over founder disputes an earnout, or how the sponsor ran the board.
  • A lender alleges the sponsor steered the company in a way that hurt the lender's position.
  • A regulator asks questions about how capital was raised.

That list is the note's, not a claims study by Riza.

how does sponsor management liability differ from the company's D&O?

A 2026 note on general partner liability describes the form as combining directors and officers, professional liability, and outside directorship liability in one policy, with employment practices and fiduciary liability available as options. 2026 general partner liability note.

How a company policy treats a sponsor's board seat is covered in D&O for sponsor board designees.

how do insurers price this when there is no committed fund?

The same May 2024 note says fund managers are usually rated on committed capital, then adjusted for strategy, industry, portfolio performance, leverage, and litigation history. An independent sponsor has no blind pool, so the rating base has to be built from the vehicles you manage or expect to raise.

Some placements use a flexible premium structure for that fact. Bring a simple schedule: each vehicle, capital raised, investors, the company it owns, and whether you hold board seats. We do not publish a price range. The number depends on underwriting.

what wording should a sponsor read?

  1. Insured entities. Some forms automatically include new vehicles and affiliated entities. Others require each entity to be scheduled. If you form a new vehicle per deal, ask how a new one is added mid-term. The 2026 note flags this distinction.
  2. Professional services definition. If it does not describe what you actually do (sourcing, raising, board oversight, operating support), coverage can be narrower than the title suggests.
  3. Investigations. Check what counts as a covered investigation, who must be named and whether informal inquiries are included. A formal investigation is not automatically covered just because it is formal. The 2026 note flags differences between forms.
  4. Exclusions. Read fee-dispute, breach-of-contract, broker-dealer, and investment-banking exclusions closely, given how sponsors are paid.
  5. Outside directorship. Confirm how it sits behind the portfolio company's directors and officers policy and its indemnification.

what should the operating agreement settle?

Questions for deal counsel, not legal conclusions:

  • Can the vehicle or the portfolio company reimburse the sponsor's premium, or is it a sponsor expense?
  • Does the vehicle indemnify the sponsor and advance defense costs, and what are the carve-outs?
  • If the sponsor's policy and the company's directors and officers policy both respond, which pays first?

The capital-partner version of the insurance file is the insurance memo. Who owns each step on the deal is the independent sponsor workstream.

when should a sponsor put this in place?

Before you start marketing a deal to investors is the cleaner moment, because the policy is claims-made and prior-acts terms are set at inception. If you are already raising, it is still worth a conversation. Ask how prior acts and known circumstances would be handled.

good to know.

Straight answers to what deal teams ask about management liability for independent sponsors.

Do I need this if I only have one deal?

Not always. One vehicle with a few sophisticated investors is a different exposure from several vehicles and many investors. It is a judgment to make with counsel and a licensed insurance agency, and to revisit as you add deals.

Does the portfolio company's D&O protect me as the sponsor?

It is written to protect the company's directors and officers, which can include your board designees for their board role. It is not designed to respond to claims about how you raised capital or managed the vehicle.

What will sponsor management liability cost?

It depends on underwriting: the vehicles, capital raised, investors, strategy, and claims history. We do not publish a price range for it. A schedule of the vehicles is the useful starting point.
