What does the program review include?
A look at every policy you carry today: coverage, limits, deductibles and price, checked against your lender’s requirements and companies like yours. You get a one-page summary in dollars, showing savings, gaps and what they’re worth at your multiple, plus a walkthrough. No obligation to move your insurance.
How often should a PE-backed company review its insurance?
At least once a year, ideally three to four months before renewal. Also review after an add-on acquisition, a new credit facility, a big customer contract or a move into new states. Changes like these often shift what you need and what your lender requires.
What happens if we fall out of compliance with our lender’s insurance requirements?
It depends on the credit agreement, but missing required coverage or limits can be a covenant breach, and lenders may send a notice, charge fees or buy coverage at your expense. Most issues are fixable once spotted, so check limits, named insureds and certificate wording at every renewal.
Does our D&O policy cover sponsor-appointed board members?
Usually, if they serve as directors of the company, but check the wording. Many policies limit claims brought by major shareholders, and the sponsor’s own fund policy may also respond. Make sure both policies work together so sponsor directors aren’t left with a gap.
How do we add an acquired company to our insurance program?
Usually by reviewing the target’s policies during diligence, then adding it to your policies at closing or at the next renewal. Watch for claims-made policies that need a tail, new class codes or locations, and customer contracts that require specific limits or wording.
How does insurance affect EBITDA and valuation at exit?
Premium is an operating cost, so every dollar saved or overspent flows through EBITDA and is multiplied at exit like the rest of your earnings. Gaps and uninsured claims found in buyer diligence can also lead to price cuts or escrows.
What will buyers look at in our insurance when we sell?
Typically your policies and limits, five years of loss runs, open claims, the workers’ comp experience mod, claims-made coverage, and whether the program meets customer and lender requirements. A clean, well-documented program shortens diligence and gives buyers less to negotiate over.
Can we change insurance brokers before our renewal?
Yes. A broker of record letter moves servicing of your current policies to a new broker, usually without changing the policies themselves. Many companies switch a few months before renewal so the new broker has time to review and shop the program.
