For independent sponsors

build the team.
before the pressure builds.

You have a target. Now you need the people who can test the numbers, support the financing process and prepare the business for what comes next.

start with the deal, then scope the work.

Share the sector, size, financing plan, available financial records and closing timetable with each provider. Ask who will lead the work and how findings reach your investors, lender and counsel. Confirm report scope and reliance requirements with your capital partners.

use the LOI to organize the next steps.

  1. Before LOI: identify the likely workstreams, provider fit and scope questions. Agree internally on who funds diligence and broken-deal costs.
  2. After LOI: confirm engagement terms and data access, align the lender and equity partners, and coordinate provider request lists.
  3. Before close: resolve material findings with counsel, financing partners and the seller. Assign owners to remaining transition work.
  4. After close: establish reporting, the insurance program and a record of decisions that will support later add-ons and exit preparation.

five questions before you engage.

  • What comparable sponsor deals has the proposed team worked on?
  • What is included, and which tax, commercial or technology work requires another specialist?
  • Will the scope and deliverables satisfy our lender and equity partners?
  • How are fees, scope changes and a transaction that does not close treated?
  • Who explains findings to the deal team, and who supports the transition after closing?
